Appointment letter explained.

The appointment letter is the document that proves the process agent is on the hook. It is what counterparties, lenders and courts will look for. Here is what is on it and why each element matters.

The required elements

  1. Date. The date of issue. Must be on or before the date the appointment is needed in the underlying contract.
  2. Name and address of the appointor. The party we are acting for. Must match the underlying contract exactly.
  3. Name of the document(s). The contracts the appointment covers - typically the Master Agreement, schedule, facility agreement, SPA, etc.
  4. Parties to those documents. So that the scope of the appointment is unambiguous.
  5. Effective date and duration. When the appointment runs from and to.
  6. Authorised signature. Signed by a director or other authorised signatory of Express Process Limited.
  7. Letterhead and registered address. So the recipient knows where to serve.

What counterparties check

Most counterparties' lawyers will check that (a) the agent is a UK-incorporated entity, (b) the letter is signed by someone with apparent authority, (c) the document names match the contract, and (d) the duration is at least the contract term. Our standard letter satisfies all four by default.

Hard copy or electronic?
